Commercial Agencies
The legislator has the tendency to encourage the foreigners to practice commercial business inside the A.R.E. Out of this concept the Egyptian legislator has dedicated a new philosophy for the commercial agency concept within the new law No. (120) of 1982, regarding the organization of the Commercial Agencies, where he covers all agreements of sale, promotion and distribution of commodities and products and provision of services, whether in the capacity of an agent, distributor, holder of the franchise or owner of the product license or the original supplier.
Regarding the comprehensiveness of the Commercial Agencies Law application and the foreign companies’ need for protection of their rights as per their legal status as a distributor, producer, principal, franchise grantor or source, the Firm and on basis of the accumulated experiences in this field, provides legal consultation relevant to the business of the commercial agencies, starting with rights protective agreements and ending with the completion of the registration procedures, protecting these rights. The most prominent services provided by the firm in this field include:
- Pursuing negotiations with the Parties of the commercial agencies contracts (Principal and Agent) (Manufacturer and Distributor) (Franchise Grantor and Grantee) and (Exporter and Supplier).
- Formulation of the commercial agencies agreements in their various manners, especially the formulation of the commercial agency contracts, distribution contracts of both types; the exclusive and non exclusive, commercial franchise contracts of all types.
- Providing the control commitment services, i.e. checking commercial agency agreements, distribution and franchise contracts, offered by the foreign entities to ensure their conformity and adherence to the Egyptian legal system.
- Follow up and completion of the entry and registration of the commercial agencies in the commercial agencies register of the Ministry of Commerce and Industry in accordance with the provisions of the Agencies Law of 1982 and its Executive Regulation.
- Objection to the entry rejection decision of the commercial agency before the competent court.
- Submitting reentry application of the agency in the name of the new agent.
- Providing the service of extracting registration certificate of the commercial agency and inquiring about the registration in the Records on the inquiry date.
- Submitting a cancellation request of the agency from the Commercial Agencies Register.
- Preparing preliminary legal consultations (Pre-litigation) which assesses the principals; or Agents’ position as per the case, merits and available documents to determine the legal status of the Client and its soundness before filing the case, which have resulted from the execution of the Commercial Agencies Law.
- Filing cases pertinent to the violations of the provisions of the Commercial Agencies Law, especially the compensation cases for terminating or rescinding agency, distribution or franchise contract, each in accordance with its legal system.
